House of Doge Inc. is a Delaware public company that calls itself the official corporate arm of the Dogecoin Foundation. On 30 June 2026 it completed a merger with Brag House Holdings, Inc. (then NASDAQ: TBH). The surviving listed name is House of Doge Inc. Common stock began trading as HODO on 1 July 2026. An 8-K and the company’s GlobeNewswire close note put about 75.9 million shares outstanding after closing. This page is a filing-and-press record. It is not a broker. HODO is not DOGE.
What it is
House of Doge (Texas corporation in the merger docs, then a wholly owned subsidiary after closing) is a commercialization vehicle: payments, treasury optics, licensed merch, regulated wrappers, sports partnerships in the company’s own language. CIK 1903595 on EDGAR is the listed registrant. The Foundation remains a nonprofit cluster. The chain remains a scrypt merge-mined ledger. Three objects. One Shiba face on the marketing.
What people confuse
| Misconception | Record |
|---|---|
| HODO is Dogecoin | HODO is equity in a public company. DOGE is the coin. Buying one is not holding the other. |
| The Foundation is the company | The Foundation licensed marks. The company pays a royalty. SEC 8-K/A language: exclusive commercialization partner. |
| TDOG is Core | TDOG is a 21Shares US LLC ETF the companies announced 22 January 2026, NASDAQ, 0.50% fee in that release. It is a wrapper. It does not write a line of Dogecoin Core. |
| The merger minted DOGE | The 8-K is a corporate reorganization. No subsidy changed. |
| Going-concern language means the coin is dead | The 10-Q for the quarter ended 30 June 2026 discusses the company’s cash and accumulated deficit. The chain is a different animal. |
The trademark license, as filed
Exhibit language repeated in the 8-K/A and later 10-Q: a strategic trademark license between House of Doge (US) and the Dogecoin Foundation dated 31 January 2025, amended and restated 7 May 2025, further amended 25 June 2025. Exclusive, royalty-bearing, worldwide, covering certain marks including the DOGE / Dogecoin mark for licensed goods and services. Royalty: 5% of net sales of licensed products. Minimum: $200,000 per month for the first five years, payable monthly in advance. The 8-K/A also records 34,298,731 legacy House of Doge shares issued under that agreement, exchangeable at the Effective Date into 7,718,866 common shares of the listed company. Cite the filing. Do not invent a 2026 NAV for the minimum.
The 10-Q as of 30 June 2026: remaining undiscounted fixed minimum royalty payments $8.6 million — $2.4 million within twelve months, $4.8 million in years two and three, $1.4 million in years four and five. That is a clerk’s leftover schedule, not a forecast of how much DOGE the Foundation will receive.
30 June 2026, then HODO
Merger Agreement dated 12 October 2025, five amendments through 15 June 2026. House of Doge Inc. (Texas) merged into Brag House Merger Sub; House of Doge survived as a wholly owned subsidiary. Certificate of amendment the same day: Brag House Holdings, Inc. renamed House of Doge Inc. StockTitan’s 8-K digest: former House of Doge holders beneficially owned about 90.66% of outstanding common, 83.32% fully diluted — a change of control. Board rebuilt to six; Marco Margiotta CEO, Charles Park CFO. Pre-merger Brag House operations parked in a subsidiary so the listed entity is a holding company. The close note: about 75.9 million shares outstanding; trading as HODO from 1 July 2026.
TDOG and the wrappers
22 January 2026, House of Doge and Brag House announced the 21Shares Dogecoin ETF, ticker TDOG, to begin trading on NASDAQ that day. The release’s own table: ISIN US90137N1063, USD, 0.50% fee, issuer 21Shares US LLC. It called TDOG “the only Dogecoin ETF provider endorsed by the Dogecoin Foundation” — that is their sentence, not this encyclopedia’s award. The same release named a 2025 21Shares 2x Long Dogecoin ETF (TXXD) and a European ETP. The 10-Q: the company fulfilled a $1.5 million commitment to buy TDOG shares through April 2026 market purchases, cash settlement about $1.48 million; no additional TDOG purchase obligation at 30 June 2026.
What the 10-Q actually said
Quarter ended 30 June 2026, unaudited. Accumulated deficit $39.8 million at 30 June 2026 versus $43.4 million at 31 March 2026. Net income for the three months $3.998 million, versus a $12.1 million net loss in the year-ago quarter. The improvement, management wrote, was driven principally by a non-cash fair-value gain on investments ($9.8 million in the cash-flow reconciliation). Net cash used in operating activities $1.6 million. Working-capital deficit remained. The filing states those conditions raise substantial doubt about the company’s ability to continue as a going concern. That is accounting language about House of Doge Inc. It is not a price on DOGE.
The same 10-Q notes that a commercial relationship as asset manager for “The Official Dogecoin Treasury” at CleanCore Solutions, Inc. had been terminated after CleanCore pivoted away from that treasury strategy. Do not freeze a 2025 treasury press release as a 19 September 2026 fact.
A 2026 hat on the brand
21 April 2026, PR Newswire and the AKC: House of Doge, MoonPay, and the Dogecoin Foundation collectively contributed 1 million DOGE to kick off a fundraiser with the AKC Humane Fund. Tim Stebbing, named as a Foundation director, is quoted. MoonPay enabled DOGE donations. This is a sourced 2026 charity drop. It is not the 2014 winter. Sequence: sled, wells, car, then a decade, then a press release next to a royalty contract. Keep both files open. See tipping culture for the first product.
Questions
Is House of Doge the same as Dogecoin?
No. House of Doge is a public company (HODO). Dogecoin is a cryptocurrency (DOGE). The Foundation licensed marks to the company. The chain does not care which ticker you trade.
When did HODO start trading?
1 July 2026, after a 30 June 2026 merger with Brag House Holdings. About 75.9 million shares outstanding in the close note.
